Terms of Service

Welcome to MarketBriefed. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and MarketBriefed ("we," "us," "our," or the "Company"), governing your access to and use of the MarketBriefed platform located at marketbriefed.com, including all associated applications, services, features, content, and functionality (collectively, the "Service"). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

1. Eligibility

The Service is available only to individuals who are at least 18 years of age. By creating an account, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity to enter into these Terms; (c) all registration information you provide is truthful, accurate, and complete; and (d) your use of the Service does not violate any applicable law, regulation, or obligation to any third party.

2. Account Registration and Security

To access the Service, you must create an account with a valid email address, a unique username, and a password. You are solely responsible for: (a) maintaining the security and confidentiality of your login credentials; (b) all activities that occur under your account, whether or not authorized by you; and (c) promptly notifying us at support@marketbriefed.com of any unauthorized access to or use of your account. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised.

We may reject or require you to change any username that is offensive, misleading, infringes any trademark, or impersonates another person or entity. Accounts are non-transferable and may not be sold, combined, or otherwise shared with any other person.

3. Description of Service

MarketBriefed is a financial news aggregation, market data visualization, and investor education platform. The Service may include, without limitation: curated news briefings, stock and index data displays, sector analysis tools, interactive learning modules, portfolio tracking features, price alert functionality, discussion threads, social features, and research tools. Features may be added, modified, or removed at our sole discretion without prior notice.

4. Financial Disclaimer — Not Investment Advice

THE SERVICE DOES NOT PROVIDE INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, TAX ADVICE, LEGAL ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVISORY SERVICES.

All content provided through the Service — including but not limited to news summaries, stock quotes, price charts, sector analysis, analyst sentiment, learning modules, briefing cards, "Explain This" educational content, and AI-generated summaries — is for general informational and educational purposes only. Such content should not be construed as a recommendation or solicitation to buy, sell, hold, or otherwise transact in any security, financial product, or investment strategy.

MarketBriefed is not a registered broker-dealer, investment advisor, financial planner, certified financial analyst, or tax professional under the laws of any jurisdiction. We do not hold any licenses or registrations with the Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Commodity Futures Trading Commission (CFTC), or any state securities regulatory authority.

Past performance of any security, index, sector, or financial instrument discussed on the Service is not indicative of future results. Investing in securities involves risk, including the potential loss of principal. You should always conduct your own research and consult with a qualified, licensed financial advisor before making any investment decisions. You acknowledge and agree that any investment decisions you make are made entirely at your own risk.

5. Subscription, Payment, and Free Trial

5.1 Free Trial

We may offer a free trial period for new subscribers. At the end of the free trial, your subscription will automatically convert to a paid subscription at the then-current rate unless you cancel before the trial expires. You will not be charged during the free trial period.

5.2 Billing

If you subscribe to a paid plan, you authorize us to charge the payment method you provide on a recurring basis (monthly or annually, depending on your selection) until you cancel. All fees are stated in U.S. dollars and are non-refundable except as expressly provided in these Terms or required by applicable law.

5.3 Price Changes

We reserve the right to change subscription prices at any time. If we increase the price, we will provide you with at least 30 days' notice before the new price takes effect. Your continued use of the Service after the price change constitutes acceptance of the new price.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Service until the end of your paid period. We do not provide prorated refunds for partial billing periods.

5.5 Refunds

Refund requests are handled on a case-by-case basis at our sole discretion. To request a refund, contact us at support@marketbriefed.com within 14 days of the charge. We are under no obligation to issue refunds.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to:

  1. Use the Service for any purpose that is unlawful, fraudulent, or harmful, or in connection with any unlawful, fraudulent, or harmful activity;
  2. Use the Service in any way that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service;
  3. Use any robot, spider, scraper, data mining tool, or other automated means to access, collect, or extract data from the Service without our express written permission;
  4. Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service;
  5. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying algorithms, or structure of the Service;
  6. Post, transmit, or distribute content that is abusive, harassing, threatening, defamatory, obscene, or otherwise objectionable;
  7. Post spam, chain letters, pyramid schemes, or unsolicited commercial communications;
  8. Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
  9. Use the Service to distribute malware, viruses, or other malicious code;
  10. Redistribute, resell, sublicense, or commercially exploit any content, data, or functionality obtained through the Service;
  11. Use data from the Service to create or train competing products or services;
  12. Circumvent, disable, or otherwise interfere with any security or technical features of the Service.

7. User-Generated Content

7.1 Ownership

You retain ownership of any content you post through threads, discussions, replies, or other social features of the Service ("User Content"). However, by posting User Content, you grant MarketBriefed a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your User Content in connection with operating, developing, and improving the Service.

7.2 Responsibility

You are solely responsible for your User Content. You represent and warrant that: (a) you own or have the necessary rights to post your User Content; (b) your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or other legal rights; and (c) your User Content complies with these Terms and all applicable laws.

7.3 Moderation

We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content at our sole discretion, for any reason, including but not limited to violations of these Terms. We are not liable for any User Content posted by users of the Service.

7.4 No Endorsement

The presence of User Content on the Service does not constitute our endorsement of such content. Investment opinions, stock recommendations, or financial analysis posted by users do not represent the views of MarketBriefed and should not be relied upon as financial advice.

8. Intellectual Property

All content, features, design elements, branding, trade dress, logos, graphics, user interface, source code, and functionality of the Service (excluding User Content) are owned by MarketBriefed or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The MarketBriefed name, logo, and all related marks are trademarks of MarketBriefed. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service without our prior written consent.

9. Third-Party Data, Content, and Services

The Service displays market data, stock prices, news articles, and other financial information sourced from third-party providers including, without limitation, financial data APIs, news wire services, and public filings databases. While we strive for accuracy, we do not guarantee and make no representations regarding the completeness, accuracy, reliability, timeliness, or availability of any third-party data displayed on the Service.

Stock quotes may be delayed by 15 minutes or more. Data may contain errors or omissions. You acknowledge that data accuracy depends on our upstream sources, over which we have no control, and you agree that we bear no responsibility for inaccuracies, errors, or omissions in third-party data. The Service may contain links to third-party websites or services. We do not control and are not responsible for the content, policies, or practices of any third-party websites.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARKETBRIEFED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

  1. Indirect, incidental, special, consequential, exemplary, or punitive damages;
  2. Loss of profits, revenue, goodwill, data, or business opportunities;
  3. Investment losses or trading losses of any kind;
  4. Damages arising from your reliance on any information provided through the Service;
  5. Damages arising from interruption, suspension, or termination of the Service;
  6. Damages arising from unauthorized access to or alteration of your transmissions or data;
  7. Damages arising from statements or conduct of any third party on the Service;

arising out of or in connection with your use of, or inability to use, the Service, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Without limiting the foregoing, we do not warrant that:

  1. The Service will be uninterrupted, timely, secure, or error-free;
  2. The data, content, or information provided through the Service will be accurate, reliable, or complete;
  3. Any errors or defects in the Service will be corrected;
  4. The Service will be free of viruses or other harmful components;
  5. The results obtained from using the Service will meet your requirements or expectations.

Your use of the Service is at your sole risk. You are solely responsible for any damage to your device or loss of data resulting from your use of the Service.

12. Indemnification

You agree to indemnify, defend, and hold harmless MarketBriefed, its officers, directors, employees, agents, contractors, licensors, and suppliers from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; (e) your violation of any rights of another person or entity; or (f) any dispute between you and any third party arising from your use of the Service.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@marketbriefed.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

If the dispute cannot be resolved informally, you and MarketBriefed agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in the Commonwealth of Pennsylvania, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND MARKETBRIEFED AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.4 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court for claims within that court's jurisdiction. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, at our sole discretion. Reasons for termination may include, but are not limited to: violation of these Terms, fraudulent or abusive activity, extended periods of inactivity, failure to pay subscription fees, or upon request by law enforcement or government authorities.

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account data after a reasonable retention period; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnification, and the dispute resolution provisions.

You may terminate your account at any time by deleting it through the Service settings or by contacting us at support@marketbriefed.com.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, power outages, internet or telecommunications failures, cyberattacks, labor disputes, or disruptions to third-party data providers or hosting services.

16. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We may update these Terms from time to time. When we make material changes, we will: (a) revise the "Last updated" date at the top of this page; and (b) make reasonable efforts to notify you via email to the address associated with your account, an in-app notification, or a prominent notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account.

17. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the Commonwealth of Pennsylvania.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term shall not be deemed a continuing or further waiver of that or any other term.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and MarketBriefed regarding the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and MarketBriefed regarding the Service.

21. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
